Terms of Service

1. Who we are and what YapShop is
YapShop is a software product that lets a business sell through WhatsApp using an AI agent. The AI handles customer chats, takes orders, and answers questions on the business's behalf, with a dashboard for the business owner and their team to manage products, orders, customers, and conversations.
These terms are between you (the business owner subscribing to YapShop) and us (emkairos intellisystems, operating YapShop). References to "you", "your", or "the vendor" mean the business that holds the account. References to "we", "us", or "YapShop" mean us.
2. Eligibility and your account
- You must be at least 18 years old.
- You must be authorised to enter agreements on behalf of the business you are signing up for.
- You are responsible for keeping your login credentials secure and for everything done under your account, including by staff members you invite.
- You must provide accurate account information and keep it up to date.
3. Subscription, billing, and cancellation
YapShop is offered on plans currently named Starter (₦25,000/month), Growth (₦75,000/month), and Pro (₦150,000/month). Prices are in Nigerian Naira and exclude any applicable VAT or withholding taxes, which you are responsible for.
New accounts start with a free trial. After the trial, continued use of the service requires an active paid plan. We may change pricing with reasonable advance notice. You can cancel at any time. We do not refund partial months unless required by law.
If a payment fails, we may suspend your access until the balance is settled. Suspended accounts retain their data for at least 30 days before any deletion happens, so paying the outstanding balance restores service.
4. The service
We provide the YapShop platform on an "as is" basis. The service depends on third parties that we do not control, including Meta (WhatsApp Cloud API), Anthropic (Claude AI), Cloudinary (media hosting), Paystack (payments), and our hosting providers. Outages or changes in those services can affect YapShop. We will do our best to keep things working and to communicate when something goes wrong.
We do not guarantee uninterrupted availability on any plan. We currently do not commit to a contractual uptime number, though we treat reliability as a priority.
5. Acceptable use
You agree not to use YapShop:
- To sell, advertise, or facilitate anything illegal in Nigeria or in the jurisdiction of your customers.
- To violate the WhatsApp Business Policy or WhatsApp Commerce Policy, or to send messages to customers who have not opted in to receive them.
- To send spam, deceptive content, or to make misleading product claims.
- To sell adult content, weapons, drugs, or counterfeit goods.
- To attempt to reverse engineer, scrape, overload, or otherwise interfere with the service.
- To use the service to harass, defraud, or harm any person.
If you violate acceptable use, we may suspend or terminate your account without refund.
6. The AI agent acts on your behalf
This is important. The AI agent that YapShop provides reads customer messages, replies, recommends products, confirms orders, and shares payment details, all while operating under your business name on WhatsApp. The AI acts as your agent, not ours. Anything the AI says or commits to on your behalf is treated as if you said it yourself.
You acknowledge that:
- AI systems can produce inaccurate, incomplete, or out-of-date responses. The AI may misquote a price, claim stock that has just been sold, or describe a product imperfectly.
- You are responsible for configuring the AI's behaviour, knowledge base, and pricing accurately, and for reviewing conversations and handoff queues regularly.
- You bear the commercial consequences of what the AI commits to on your account, including honouring quoted prices and confirmed orders or arranging refunds with the customer.
- Where required by law in any jurisdiction where you operate, you will disclose to your customers that they are interacting with an AI agent. The default AI configuration includes such a disclosure; you must not disable or undermine it.
7. WhatsApp Business compliance
WhatsApp is operated by Meta and has its own rules that govern who may message whom and how. You warrant that:
- You own the WhatsApp Business number connected to YapShop and have the right to use it for the messages we send through it.
- You have obtained the required opt-in from each customer the AI messages, and you can demonstrate that opt-in if asked.
- You will respect WhatsApp's 24-hour customer service window for free-form messages.
- Any Meta-imposed quality rating, template rejection, or account suspension affecting your WhatsApp number is your responsibility to resolve.
8. Your content and data
You retain ownership of the content you upload to YapShop, including product descriptions, photos and videos, customer data, and any other materials. You grant us a limited, non-exclusive licence to host, transmit, process, and display that content solely to operate the service for you. This includes routing content through the third-party processors listed in our Privacy Policy.
You warrant that you have the right to upload everything you upload (including product imagery) and that doing so does not infringe any third-party rights.
We do not use your customer conversations to train AI models without your explicit consent.
9. Payments to you
YapShop is not a payment processor and does not hold customer funds. When a customer pays for an order, the money flows through Paystack or by direct bank transfer to your bank account. Refunds, chargebacks, and payment disputes are handled directly between you, your customer, and (where applicable) Paystack. We may help where we can, but we are not a custodian or guarantor of any payment.
10. Our intellectual property
The YapShop platform itself, including the dashboard interface, our backend systems, and the YapShop name and brand, is owned by emkairos intellisystems. You receive a limited licence to use the service for the duration of your subscription. You may not copy, resell, or rebrand the platform.
11. Disclaimers
The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by Nigerian law. We do not warrant that the service will be uninterrupted, error-free, or that AI responses will be accurate.
12. Limitation of liability
To the fullest extent permitted by law, our total aggregate liability to you for any claim arising out of or related to these terms or the service is limited to the fees you paid to YapShop in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost sales, lost data, or loss of goodwill, even if we have been advised of the possibility of such damages.
Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited.
13. Indemnification
You agree to defend, indemnify, and hold harmless YapShop, emkairos intellisystems, and our officers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising out of:
- Your use of the service.
- Your violation of these terms or any applicable law.
- Anything the AI agent says or commits to on your account, including claims by customers regarding price, availability, delivery, or product quality.
- Your violation of any third-party right.
14. Termination
You may stop using YapShop and cancel your subscription at any time from the dashboard or by emailing support@emkairosintellisystems.com. We may suspend or terminate your access at any time if you violate these terms, if we are required to do so by law, or for prolonged non-payment.
After termination, we keep your data for 30 days so you can request an export. After that period, we delete it from our active systems, subject to any records we are required to keep for legal, tax, or audit purposes.
15. Changes to the service and these terms
We may change the service over time, including adding, removing, or modifying features. We may also update these terms. When we make material changes to the terms, we will notify active vendors by email or through the dashboard. Continued use of the service after a change takes effect means you accept the updated terms. If you do not accept them, you can cancel.
16. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State have exclusive jurisdiction over any dispute arising from these terms or the service, except where applicable consumer protection law permits you to bring a claim in your place of residence.
